1. Agreement to Terms
This website (the "Site") is owned and operated by ConstructX ("we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement governing your access to our Site and your engagement with our construction services. By using the Site or entering into a contract with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Our Role as General Contractor / Construction Manager
ConstructX acts as a general contractor and/or construction manager, coordinating and managing third-party partners such as subcontractors, material suppliers, architects, and engineers ("Partners"). We are dedicated to the successful execution of your project, but we do not directly employ all trades involved.
- Service Agreement: Your primary construction contract is with ConstructX. However, the work performed by our Partners is governed by separate agreements between us and them.
- Information Accuracy: We strive to provide accurate information regarding project timelines, costs, and material availability. This information is often based on data provided by our Partners and is subject to change due to market conditions. We are not liable for errors or delays caused by incorrect information from third-party Partners, but we will work diligently to mitigate any such issues.
3. Project Engagement, Payments, and Termination
Engaging our services follows a structured process to ensure clarity and commitment.
- Contract Confirmation: A project is considered confirmed only after a formal construction agreement is signed by all parties and the initial deposit is received.
- Payment Schedule: An initial deposit is required to secure project commencement and material procurement. Progress payments will be due at specified milestones as outlined in the construction agreement. Failure to make timely payments may result in a work stoppage and/or project termination.
- Project Termination: Conditions for project termination by either party must be submitted in writing. Termination fees, covering costs incurred to date and demobilization, may apply as detailed in your specific contract.
4. Client Responsibilities
To ensure a successful project, you, the client, are responsible for the following:
- Access to Property: You must provide timely and unobstructed access to the project site for our employees and Partners throughout the duration of the project.
- Timely Decisions: You are responsible for making timely decisions regarding materials, finishes, and change orders to avoid project delays. Delays caused by client indecision may result in schedule adjustments and additional costs.
- Accurate Information: You are responsible for providing accurate site surveys, property line information, and any existing structural plans as required.
- Securing Financing: The client is responsible for securing all necessary financing for the project.
5. Intellectual Property
All content on this Site, including the ConstructX logo, text, graphics, and website design, is our property. The project management plans, schedules, and processes we develop are our intellectual property. Architectural drawings and plans remain the property of the architect of record. You are prohibited from distributing our proprietary documents for commercial purposes without our prior written consent.
6. Limitation of Liability
As we manage third-party Partners, we are not liable for property damage, delays, or other losses resulting directly from the negligence or failure to perform of any individual Partner, though we will manage the remedy of such issues as part of our service. Our liability is limited to the scope of work defined in our direct contract with you. TO THE FULLEST EXTENT PERMITTED BY LAW, CONSTRUCTX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OUR SITE OR THE SERVICES PROVIDED BY THIRD-PARTIES.
7. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice by updating the "Last Updated" date at the top of this page. Your continued use of the Site or our services after any such changes constitutes your acceptance of the new Terms.
